1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of Expensa ("we", "our", "us"), operated by Andrew Sereda, including the mobile application, the website at getexpensa.com, and all related features (collectively, the "Service"). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Description of Service

Expensa is a personal finance app for iPhone that helps you track transactions, manage accounts and budgets, scan receipts with AI, import statements, and optionally share a financial Space with trusted collaborators over iCloud. The Service is designed for personal, non-commercial use.

3. Account and iCloud

Expensa does not require you to create a separate account. Your data is stored locally on your device and synced through your personal Apple iCloud account using CloudKit. You are responsible for maintaining the security of your Apple ID. You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service.

6. User Content

"User Content" means the transactions, receipts, notes, tags, budgets, and other data you enter into the Service. You retain all rights to your User Content. By using the AI features, you grant us a limited, non-exclusive, worldwide licence to process the specific User Content you submit (such as a receipt image or imported file) solely to generate the requested result. This licence ends once the request is complete. We do not use your User Content to train AI models.

7. Intellectual Property

Expensa, including its name, logo, design, code, and all related content and functionality, is owned by Andrew Sereda and protected by applicable copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without prior written consent.

8. Third-Party Services

The Service integrates with third-party providers (Apple iCloud, OpenAI, RevenueCat, OpenExchangeRates, Supabase) to deliver certain features. We are not responsible for the content, availability, or practices of these services. Your use of each integration is subject to that provider's terms. 9. Account Suspension and Termination

You can stop using the Service at any time by deleting the app from your devices and, if you wish, deleting its iCloud data via iOS Settings. We may suspend or terminate access for users who violate these Terms, abuse the Service, or place it at legal or operational risk. Where possible, we will give reasonable notice before doing so.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Expensa is not financial advice. You are responsible for how you use the information it produces.

11. Limitation of Liability

To the fullest extent permitted by law, Andrew Sereda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to your use of the Service, even if advised of the possibility of such damages.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

Nothing in these Terms limits liability for gross negligence, wilful misconduct, or any liability that cannot be excluded under applicable law (including consumer rights in the EU, UK, or Ukraine).

12. Indemnification

You agree to indemnify and hold harmless Andrew Sereda from any claims, damages, losses, or expenses (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your misuse of the Service, or (c) your violation of any law or the rights of a third party through your use of the Service.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Ukraine, without regard to its conflict of law principles. Where you are a consumer in the EU, UK, Ukraine, or another jurisdiction with mandatory consumer protections, you retain the benefit of those protections.

Any disputes arising from the Service or these Terms that cannot be resolved informally shall be submitted to the courts of competent jurisdiction at your place of residence where applicable consumer law so requires, and otherwise to the courts of Ukraine.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be replaced by a valid one that reflects the original intent as closely as possible.

15. Entire Agreement and Changes

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Service, and supersede any prior agreements. We may update these Terms from time to time; we will update the "Last updated" date and, for material changes, provide notice in-app or on the website. Your continued use of the Service after an update constitutes acceptance of the new Terms.
